Term and Conditions


1.    Acceptance of these terms and conditions
(a)    These terms and conditions, the bookings page of our site (the "Booking Form"), any information entered by you onto the Booking Form which you submit to us (the "Order") and any terms and conditions of the Venue (together the "Contract") tell you the terms and conditions on which we supply to you any ticket provided by us entitling the holder entrance to and a seat at the Awards (a "Ticket"). Please read these terms and conditions carefully and make sure that you understand them before ordering any Ticket from our site. You should understand that by ordering any Ticket, you agree and agree to procure that your Guests agree to be bound by the terms of the Contract.
(b)    By ticking the button marked "I Accept" on the Order you agree to the terms of the Contract. If you refuse to accept the terms of the Contract, you will not be able to order any Ticket from our site.
(c)    After submitting your Order using the Booking Form, you will receive an e-mail from us acknowledging that we have received your Order. Please note that this does not mean that your Order has been accepted by us or that an order has been placed. Your Order constitutes an offer to us to buy a Ticket or Tickets. All Orders are subject to acceptance by us, and we will confirm such acceptance to you by sending you an e-mail confirming this ("Confirmation"). The Contract between us will only be formed when we send you the Confirmation.
(d)    The Contract will relate only to those Tickets whose dispatch we have confirmed in the Confirmation (this may not include all Tickets requested in your Order).
(e)    Tickets at the Awards are limited and subject to availability.
2.    Customer Rights
(a)    Subject to clause 2(b), if you are contracting as a consumer, you may cancel the Contract at any time within seven working days, beginning on the day after you received the Confirmation. In this case, you will receive a full refund of the price paid for any Ticket. To cancel the Contract, you must inform us in writing, your cancellation should be marked for the attention of TES Global 26 Red Lion Square, London, WC1R 4HQ or by email to kerry.paige@tesglobal.com.
(b)    If you are contracting as a consumer and you submit an Order within seven working days of the Awards and you receive a Confirmation you may not cancel the Contract after the Awards have started.
(c)    Subject to clause 2(b), if you are contracting as a consumer, you cancel the Contract within the seven day cooling-off period and you have paid us for any Ticket, we will process the refund due to you as soon as possible and, in any case, within 30 days of the day on which you gave us notice of cancellation. In this case, we will refund the price of each Ticket in full and any applicable delivery charges. If you cancel the Contract you shall (and shall procure that your Guest shall) destroy any Ticket which we have already dispatched to you.
(d)    If you cancel any Ticket you must return it to us by post, at your expense.
3.    Ticket details
(a)    We reserve the right to change (for a reasonable alternative) the times, dates, host, compere, speaker or performer and the Venue of the Awards without incurring any liability to you.
(b)    The details of the Awards shown in any material supplied by us are correct at the time but you shall be responsible for checking with us that no alterations have been made.
(c)    The Ticket price does not include any travel costs or any costs of accommodation. The Ticket price relates solely to attendance at the Awards.
4.    Price and Payment
(a)    The price of each Ticket and our delivery charges will be as quoted on the Booking Form, except in cases of obvious error. We will normally verify prices as part of our confirmation process. Where any Ticket's correct price is less than the price stated on our Booking Form, we will charge the lower amount. If a Ticket’s correct price is higher than the price stated on our Booking Form, we will normally, at our discretion, either contact you for instructions before sending a Confirmation to you, or reject your Booking Form and notify you as to why we are rejecting it.
(b)    Ticket prices are exclusive of VAT and we shall charge VAT at the applicable rate on the date of the Confirmation.
(c)    Payment may be made by:
i)    cheque - please make any cheques payable to TES Global Ltd and send the cheque to TES Global Ltd, Credit Control Department, PO Box 49779, 26 Red Lion Square, London, WC1R 4WR;
ii)    credit card via the booking page of our site; or
iii)    bank transfer - to bank account sort code 20 78 98 and account number 33935434, please indicate the name of the Awards, your surname and/or Company Name as a reference on all bank transfers and on the back of all cheques.
(d)    We will not send any Ticket to you until the later of the following events has occurred:
(i) we receive payment from you, in clear funds, for each Ticket and our delivery charges as stated on the Confirmation and
(ii) the expiry of the cooling-off period.
(e)    In order for your Guests to attend the Awards, you must have paid for each Ticket and our delivery charges as stated on the Confirmation by the date of the Awards. If payment is not received within these required time limits, we reserve the right to cancel the Contract and refuse your Guests entry to the Awards without notice.
5.    Cancellations, Substitutions and Re-sale
(a)    You may not re-sell, transfer, assign or otherwise dispose of any rights or obligations arising under the Contract, including but not limited to re-selling any Ticket to a third party (subject to any rights which may transfer to your Guests pursuant to these terms and conditions).
(b)    Subject to clause 2(a), any payments received by us for any Ticket are non-refundable.
(c)    We will not be liable or responsible for any failure to perform, or delay or change in performance of, any of our obligations under the Contract that is caused by events outside our reasonable control (a "Force Majeure Event").
(d)    In the event of a Force Majeure Event, we reserve the right to change the times, dates and the Venue of the Awards without incurring any liability to you.
6.    The Awards
(a)    You shall provide us with a list containing the name of each of your Guests (the "Guest List") three weeks before the date of the Awards. If you have not provided your Guest List to us by this date, we reserve the right to cancel the Contract and refuse your Guests entry to the Awards.
(b)    A substitution of a Guest named on your Guest List can be requested by giving written notice to us. We reserve the right to accept or deny your request.
(c)    Photographs will be taken at the Awards by an official photographer; such photographs may be used in post-Awards publicity and on future marketing materials. By completing and submitting your Order, you consent (and agree to procure your Guests' consent) to the official photographer taking such photographs, which may feature you and/or your Guests. If you or any of your Guests do not want your photograph to be taken or used in this way, you must notify us in writing prior to the Awards.
(d) During the Awards the host, compere, speaker or performer may use their own copyrighted material. Any unauthorised recording or posting of this material is an infringement of their copyright.
(e)    We reserve the right to refuse entry to the Awards to any Guest who is unable to present a Ticket upon request by us or any employee or agent of the Venue.
(f)    If in our opinion or the opinion of the any employees or agents of the Venue you or any of your Guests' behaviour is considered inappropriate you or they may be refused entry or asked to leave and excluded from the Awards without refund or compensation.
(g)    Reasonable security searches at the Venue may take place.
7.    Liability
(a)    Subject to clauses 7(b) and 7(c), our aggregate liability to you and any Guest together, not separately (whether such liability arises in contract, tort (including negligence) or otherwise) for any direct loss or damage arising out of, or in connection with, the Contract shall not exceed the aggregate Ticket price paid by you to us for the Awards (as stated on the Confirmation).
(b)    Subject to clause 7(c), we shall not be liable to you or any Guest (whether such liability arises in contract, tort (including negligence) or otherwise) for:
i)    any loss of profit, loss of or damage to reputation or goodwill or any indirect, special or consequential damages, loss, costs, claims or expenses of any kind; and/or
ii)    any loss or damage arising from a failure or delay in performing our obligations under the Contract to the extent that such failure or delay was caused or contributed to by an act or omission by you or any Guest.
(c)    The exclusions and limitations of liability in the Contract shall not apply to any loss suffered by any person arising out of:
i)    the fraud and/or fraudulent misrepresentation of the person seeking to rely on the exclusion or limitation; and
ii)    death or personal injury resulting from negligence on the part of the person seeking to rely on the exclusion or limitation.
(d)    Except as otherwise expressly provided in the Contract, all warranties, undertakings or other similar terms implied by statute, common law or custom are excluded to the maximum extent permitted by law.
(e)    You agree to indemnify us, our staff and agents and to hold us all harmless against all or any loss, damage, injury, actions, proceedings or claims arising from any act or omission by you or any of your Guests during the course of the Awards.
(f)    You are responsible for taking appropriate insurance cover in connection with your Guests' attendance at the Awards. Where a Guest is travelling from outside of the United Kingdom to attend the Awards, appropriate travel insurance should be purchased independently and in advance of any travel or travel bookings.
(g)    The views expressed by any speaker at the Awards are representative of the speaker's own opinions and cannot in any way be attributed to us. We disclaim any liability for views expressed by any host, compere, speaker or performer at the Awards.
(h)    We are not liable for the content of any entertainment provided. We have taken reasonable checks to ensure that it is appropriate for the Awards.
8.    Miscellaneous provisions
(a)    These terms and conditions shall be governed by and construed in accordance with English law and each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts.
(b)    In entering into the Contract, the parties have not relied on, and shall have no remedy in respect of, any statement, representation, warranty, understanding, promise or assurance (whether negligently or innocently made) of any person other than as expressly set out in the Contract.
(c)    The Contract constitutes the entire agreement between the parties. Each Guest shall be deemed to have full knowledge of the terms of the Contract and shall be bound by the Contract in all respects.
(d)    Where the provisions of these terms and conditions conflict with the provisions of the Booking Form, the Order or the terms and conditions of the Venue, the following order of precedence shall prevail:
(i) the terms and conditions,
(ii) the Booking Form,
(iii) the Order and
(iv) the terms and conditions of the Venue.
(e) You accept that communication with us may be electronic. We may contact you by e-mail or provide you with information by posting notices on our website. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.
(f)    All notices given by you to us must be given to TES Global Limited at 26 Red Lion Square, London, WC1R 4HQ or by email to kerry.paige@tesglobal.com. We may give notice to you at either the e-mail or postal address you provide to us on the Order, or in any of the ways specified in clause 8(e) above. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail that such e-mail was sent to the specified e-mail address of the addressee.
(g)    Where any Ticket for the Awards is posted to you, the risk in each Ticket shall pass to you upon the Ticket being posted to the address given you in the Order.
(h)    If we fail, at any time during the term of the Contract, to insist upon strict performance of any of your obligations under the Contract, or if we fail to exercise any of the rights or remedies to which we are entitled under the Contract, this will not constitute a waiver of such rights or remedies and will not relieve you from compliance with such obligations.
(i)    A waiver by us of any default will not constitute a waiver of any subsequent default.
(j)    No waiver by us of any of the terms of the Contract will be effective unless it is expressly stated to be a waiver and is communicated to you in writing in accordance with clause 8(f) above.
(k)    If any court or competent authority decides that any of the provisions of these terms and conditions or any provisions of the Contract are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.
(l)    A person who is not party to these terms and conditions or the Contract shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.
9.    Definitions
For the purposes of these terms and conditions:
(a)    the "Awards" means a luncheon or dinner and an awards ceremony, presentation ceremony or event;
(b)    "Guest" means a person for whom you have ordered or purchased a Ticket to the Awards including yourself (if you are an individual);
(c)    "Venue" means the location of the Awards;
(d)    "we", "us" and "our" means TSL Education Ltd, a company registered in England and Wales, company number 2017289, registered address TES Global Ltd, 26 Red Lion Square, London, WC1R 4HQ, UK; and
(e)    "you" and "your" means, if you are acting as a consumer, the person named on the Order and if you are acting as a business, the organisation named as the "Company" on the Order.
